How long are company documents valid in Morocco in 2026 and what needs to be renewed?

In Morocco, a company's registration in the Commercial Register, its articles of association, its IF and its ICE are permanent and are not renewed, whereas the OMPIC negative certificate is only valid for 90 days before registration and the Commercial Register extract required by banks and administrations must generally be less than 3 months old. On the other hand, the OMPIC trademark (every 10 years), the electronic signature certificate (generally 1 to 3 years) and sector licenses must be renewed, while accounting documents are kept for 10 years. Neglecting these deadlines exposes your company to serious risks: fines, loss of rights to your trademark, blocked administrative procedures.

The essentials

In short

Registration in the Commercial Register (Registre du Commerce, RC), the articles of association (statuts), the tax identification number (IF) and the Common Company Identifier (ICE) are permanent. However, some documents have limited validity and must be renewed: the trademark registered with OMPIC (10 years, renewable indefinitely), the electronic signature certificate (according to its duration, generally 1 to 3 years), sector licenses (agréments sectoriels) (variable). Tax, social security and accounting obligations are annual or monthly. Accounting documents and supporting documents are kept for 10 years. A compliance calendar is essential.

07 · FAQ

FAQ: Frequently Asked Questions

Does my registration in the Commercial Register expire?

No, registration in the Commercial Register is permanent: only changes must be declared to the commercial court registry. However, the Commercial Register extract requested by banks and administrations must generally be less than 3 months old.

Does the negative certificate have a validity period?

Yes, the negative certificate issued by OMPIC is valid for 90 days. If the company is not registered within this period, a new application must be filed (232.76 MAD online).

How long is a trademark registration valid?

A trademark registration is valid for 10 years from the filing date (Law 17-97) and is renewed with OMPIC with no limit on the number of renewals. A late renewal does not lead to a fine, but to a surcharge during the 6-month grace period; after this period, you lose your rights and a third party can file the trademark.

What happens if I forget to renew my electronic certificate?

Without a valid electronic certificate, you can no longer sign electronically. Your deeds will have to be signed by hand until a new certificate is issued by an approved provider.

Do I have to renew my company's articles of association every year?

No, the original articles of association are permanent. Only amendments decided by the partners create new deeds, which are filed with the registry and published.

How long do I have to keep my invoices?

Invoices must be kept for 10 years minimum (Law 9-88 and art. 211 CGI). After that, you can destroy them, unless there is a dispute in progress.
