Association or company in Morocco: which should you choose in 2026?
The choice between an association and a company in Morocco depends on the purpose of your project: the association, governed by Dahir No. 1-58-376 of 15 November 1958 on the right of association, as amended in particular by Law No. 75-00, pursues a non-profit purpose, distributes no profits to its members and is created by a simple declaration to the local administrative authority (final receipt within 60 days). The commercial company (SARL, SARL AU, SAS, SA) pursues a profit-making purpose, distributes its profits to its partners and is registered in the Commercial Register (Registre du Commerce, RC). How do you set up an association in Morocco (Dahir 1-58-376)?
Dahir No. 1-58-376 of 15 November 1958, as amended in particular by Law No. 75-00 (2002), defines the association as the agreement by which two or more persons pool their knowledge or their activity for a purpose other than sharing profits. The regime is declaratory: no prior authorization is required.
To set up an association:
- Bring together the founding members and hold a constituent general meeting that adopts the articles of association and elects the executive committee
- Draft articles of association (statuts) specifying the name, purpose, registered office, governing bodies, method of appointing the officers and the allocation of assets in the event of dissolution
- File the declaration (Article 5) with the local administrative authority of the registered office (pachalik, caïdat or administrative annex): signed articles of association, minutes of the constituent general meeting, list and identity of the members of the executive committee, copies of national identity cards (CIN) (or residence cards for resident foreigners), criminal record extracts of the officers
- Obtain the provisional receipt, issued immediately, then the final receipt, issued within a maximum of 60 days; the authority forwards the file to the public prosecutor's office at the court of first instance
- Declare any subsequent change (executive committee, articles of association, registered office) within one month
The association is not registered in the Commercial Register; it obtains a tax identification number from the DGI and carries out the employer's CNSS affiliation if it employs staff. Foreign aid received must be declared to the General Secretariat of the Government (Secrétariat général du gouvernement) within 30 days (Article 32 bis).
How is an association taxed on its economic activities?
An association lives on membership fees, donations and grants and may carry on economic activities ancillary to its purpose (paid training, sale of publications, events). However:
- These activities must not constitute its main purpose
- Surpluses are never distributed: they are reinvested in the association's purpose
- Accounts must be kept, and subsidized associations must account for the use of public funds
From a tax standpoint, non-profit associations are exempt from IS only for transactions in line with their statutory purpose (Article 6 of the CGI). Their industrial, commercial or service transactions remain subject to IS and, where applicable, to VAT and professional tax. A regular and significant commercial activity removes the advantage of association status and exposes the association to a tax reassessment.
What does recognition of public utility change?
An association may be recognized as being of public utility (reconnue d'utilité publique) by decree, after its application has been examined by the General Secretariat of the Government, in view of its track record, its management and the general interest of its activities. This status gives entitlement to:
- The deductibility of donations for donor companies (Article 10 of the CGI, up to a limit of 2‰ of turnover)
- Extended legal capacity (acceptance of donations and bequests, public appeals for donations)
When should you set up a company rather than an association?
The association is not suitable if the project:
- Aims to distribute profits to the founders
- Relies on fundraising from investors (equity investment)
- Requires future valuation and sale
- Must attract business angels or venture capital funds, like a startup in Morocco
- Carries on a commercial activity as its main activity
In these cases, a commercial company is the suitable structure: SARL or SARL AU (Law 5-96, freely set capital), SAS (Law 5-96 as amended and supplemented by Law 19-20, freely set capital) or SA (300,000 MAD minimum). The minimum amounts and capital paying-up rules for each form are set out in the guide to minimum capital by company type.
Are there intermediate forms (ESS, cooperatives)?
Beyond the association / company divide, the Social and Solidarity Economy (Économie Sociale et Solidaire, ESS) offers hybrid forms:
- Cooperatives governed by Law No. 112-12: at least five members, registration in the register of cooperatives, business logic serving the members, support from the Office for the Development of Cooperation (Office du Développement de la Coopération, ODCO); an alternative for projects with an economic purpose and a collective approach
- Mutual societies (mutuelles) governed by their own framework
- Structures combining social utility and economic activity
